FISHERS, Indiana (SEPTEMBER 11, 2019) —
The ballot featuring nine (9) elected director candidates for the 2020-2021 CEDIA Board of Directors is now live. CEDIA is urging all global member companies to cast their vote for four (4) open elected director positions.
The CEDIA Board of Directors governs the association's activities, and is dedicated to furthering the CEDIA mission of building prosperity for its members and ensuring the growth of the industry through its programs and initiatives.
The board's makeup reflects the geographical density of the CEDIA membership, so the forthcoming elected director vacancies include one (1) CEDIA member candidate from the EMEA region and three (3) from the rest of the global membership. The candidate (1) from the EMEA region receiving the most votes will fill the EMEA-designated position and the top three (3) candidates from the rest of the world will fill the remaining three (3) seats.
Elected board members will be announced immediately after the election. They will be seated on January 1, 2020. The nine (9) candidates have cleared a rigorous evaluation process by the CEDIA Governance Committee and have met the competencies required to be included on the ballot. In addition to casting their vote for elected directors, CEDIA members will be asked to approve the move of domestication of CEDIA from Illinois to Indiana.
"In the early years of CEDIA, the management company running the association established CEDIA in the state of Illinois. Making this change of domestication to Indiana not only aligns with the fact that we are headquartered there, but it will streamline all our filing processes going forward," said Dave Humphries, CEDIA Chairman.
Pursuant to CEDIA's bylaws
, the association must receive responses from at least 1% of the membership in order to meet quorum requirements. Moreover, to be effective, the domestication must receive the approval of at least two-thirds of the member votes cast. Voting for elected directors and the move of domestication will begin on September 11, 2019 and will be open for 41 days, ending October 22, 2019.
The CEDIA bylaws govern and outline the board election process. All member company types (integrator, manufacturer, service provider, or other) may vote and each company has one (1) vote. Those listed as company administrators in the CEDIA database were sent the voting link, and if more than one ballot is submitted by a company, the first ballot cast will be the one counted. Members who are visiting CEDIA Expo 2019 in Denver may vote in the CEDIA booth, #1301.
In a process running parallel with elections, the CEDIA Governance Committee is reviewing applications and conducting interviews with potential candidates for appointed seats on the board. Appointed directors are chosen from among all member types. There are three (3) appointed positions open for the 2020-2021 term; one (1) is to be filled from the EMEA region and two (2) are to be filled from the rest of the global membership. The CEDIA Governance Committee will recommend appointed candidates to the board following a thorough vetting process and the board will vote to approve the recommendations. Appointments will occur at the January 2020 board meeting.
